These Terms & Conditions (“Terms”) govern the services provided by veqtora digital (“we”, “us”, “our”) to you (the “Client”). By engaging our services or accepting a proposal, you agree to these Terms.
1. Definitions
“Services” means the marketing, advertising, website, SEO, analytics and related services we agree to provide. “Proposal” means the quote, statement of work or order describing the Services, fees and scope.
2. Services
We will provide the Services described in the applicable Proposal with reasonable skill and care. Any work outside the agreed scope will be quoted and agreed separately before it begins.
3. Proposals and quotes
Proposals are valid for [PROPOSAL_VALIDITY] unless stated otherwise. Work begins once the Proposal is accepted and any required deposit is paid.
4. Fees and payment
- Fees are as set out in the Proposal and are exclusive of VAT unless stated.
- Setup fees, project deposits or the first month’s retainer are payable before work begins.
- Recurring fees are invoiced [BILLING_CYCLE] and due within [PAYMENT_TERMS_DAYS] days.
- Advertising spend (e.g. Google or Meta budgets) is separate from our management fees and is paid by the Client directly to the platform, or to us for onward payment where agreed.
- We reserve the right to pause Services on overdue accounts and to charge interest on late payments as permitted by law.
5. Client responsibilities
You agree to provide timely access, information, content, approvals and account permissions we reasonably need to deliver the Services, and to ensure that any materials you provide do not infringe third-party rights.
6. Timelines
We will use reasonable efforts to meet agreed timelines. Deadlines depend on your timely input and factors outside our control (including third-party platforms), and are estimates rather than guarantees.
7. Revisions and approvals
The number of revision rounds included is set out in the Proposal. Additional revisions may be chargeable. Work approved by you is deemed accepted.
8. Intellectual property
On full payment, ownership of the final deliverables created specifically for you transfers to you, except for third-party materials, our pre-existing tools, templates and know-how, which remain ours and are licensed to you for use in the deliverables.
9. Third-party platforms
Our Services rely on platforms such as Google and Meta, which we do not control. We are not responsible for their policies, outages, account suspensions, pricing or algorithm changes.
10. Results and performance
Digital marketing results depend on many factors beyond our control. While we work to industry best practice, we do not guarantee specific rankings, traffic, leads, sales or return on ad spend. Any figures or examples we share are illustrative, not promises.
11. Confidentiality
Each party will keep the other’s confidential information private and use it only to perform or receive the Services.
12. Warranties and disclaimers
The Services are provided on a professional-effort basis. Except as expressly stated, we exclude all implied warranties to the fullest extent permitted by law.
13. Limitation of liability
To the fullest extent permitted by law, our total liability arising from the Services is limited to the fees paid by you for the Services in the [LIABILITY_PERIOD] preceding the claim. We are not liable for indirect or consequential losses, lost profits, lost data or lost revenue. Nothing limits liability that cannot be limited by law.
14. Term and termination
Either party may terminate an ongoing engagement by giving [NOTICE_PERIOD] written notice. We may terminate immediately for material breach or non-payment. On termination, you must pay for all Services delivered up to the termination date. See our Refund & Cancellation Policy.
15. Governing law
These Terms are governed by the laws of [JURISDICTION], and the courts of [JURISDICTION] have exclusive jurisdiction over any dispute.
16. Changes
We may update these Terms from time to time. The version in effect when you accept a Proposal applies to that engagement.
